  • Representing PT Elite Prima Hutama (part of Pakuwon Group) in preparing and submitting counter memory of cassation. This is a follow-up case over the consignatie determination that we have won previously. The defendant disagrees with the determination by the judge and filed a cassation.

  • Representing PT Indonesia Realestate Commercial on sale and purchase over the land by drafting master agreement where the Client tried to certificate the land under the name of Client and then develop the land as condominium for low-income community. We also assist to draft escrow agreement and to draft relinquishment of right agreement of land, which is around 6 hectares of land located in Bogor, Indonesia.
  • Representing PT Oceania Development (part of Pikko Group) on a huge joint operation between two real estate developers by drafting a Joint Operation Agreement. The land is 70,000 m2 located in Kemayoran, central of Jakarta, Indonesia.
  • Representing PT Krisanta Esa Maju (part of Lippo Group) to purchase a strategic land in Makassar which is not yet certificated and had been in dispute for around 3 years. We prepared draft of a Conditional Sale and Purchase agreement, loan agreement and also Power of Attorney.

  • Retained by Tenant Association of The Belleza Permata Hijau Apartment, in the form of reviewing letters and agreements that are used in operational basis, standardizing draft of agreements to be used with third party, providing general legal advice on the operational legal issues and assisting the management of the Client to negotiate with tenant and/or owner of apartment units.
  • Representing PT Hong Kong Kingland on joint venture matter by reviewing and revising joint venture agreement, shareholder loan agreement and shares subscription agreement. The development is on the 2,2 hectares of land, which is strategically located in Serpong, Tangerang, Indonesia.
  • Representing PT Bintang Permata Asri (part of Cowell Group) on reviewing and revising draft of House Rules.
  • Representing PT Tangki Merak in performing legal audit, court research, and land research in order to issue legal due diligence and legal opinion.
  • Representing PT Bina Usaha Nusantara (part of Metropolis Group) in preparing legal opinion in relation to the sale and purchase issues and rent guarantee on conditional sale and purchase agreement regarding the legal risk that may occur to the client in relation to the delay of performance of payment on rental guarantee and the mitigation of risks for the delay of performance of payment on rental guarantee.
  • Representing PT Frasers Hospitality Investment Indonesia in attending annual meeting and advising if the meeting is in accordance with the prevailing laws, including Articles of Association and By-Laws of Peak’s condominium.

  • Representing PT Metbelosa (part of Osaki Electric, Ltd) on the sale of land to the third party in Pulo Gadung that would be dissolved after the sale. We assisted them by drafting a letter of intent and conditional sale and purchase agreement.
  • Representing PT Bliss Properti Indonesia (part of Blacksteel Group) on acquisition of land where the Client intends to build the first shopping center in the Tanjung Pinang area, We prepared draft of master agreement, shareholder agreement and assisted the Client on the closing of transaction.
  • Representing PT Bliss Properti Indonesia (part of Blacksteel Group) on acquisition of company that is a retail shopping center in Denpasar, Bali by performing legal due diligence over the company, drafting Conditional Sale and Purchase agreement, lease agreement, shareholder agreement and other types of agreements. The Client intends to change the concept of the mall, renovate it, and make it more profitable.

  • Representing PT RMK Energy on acquisition matters by drafting Conditional Sale and Purchase Agreement and also performing legal due diligence over shares of the target company having its business in mining.
  • Representing PT Mitra Pertala Perkasa (part of Nobel Group) on acquisition of land and office The transaction is material since the buyer is one of the largest bank in Indonesia. The buyer needs the building for their own office tower. The project is called Satrio Square.
  • Representing PT Tokyu Land Indonesia on acquisition of land, which is located in TB Simatupang, South Jakarta, Indonesia and assist them until completion of the transaction.
  • Representing PT Formulatrix Indonesia (a subsidiary of US company) on acquisition of land in industrial estate by performing a legal due diligence over the land purchase and reviewing various related legal documents. The firm also assisted the client to establish 2 (two) foreign investment companies in Indonesia.
  • Representing PT Procap Properti (part of Provident Group) on acquisition of shares of land by performing a legal due diligence over land and preparing Master Agreement, shareholder agreement and other related agreements and also assist the Client until the completion of transaction. This transaction is important since there are two primary transactions that is acquisition of shares through shares subscription and acquisition of huge areas of land.

  • Representing PT Pacific Indopalm Industries (part of Indomas Group) on a claim of unlawful act about the land status where the Plaintif claims that he is the owner of the land located within the Client’s factory. However, the Client has bought the land and already certified at that time and eventually the case won by the Client.
  • Representing PT Valvindo Megah (a distributor of the valve) as a Respondent on a legal dispute performed in Indonesian National Arbitration Board (BANI) on a hidden defect claim.
  • Representing PT Pendopo Niaga (part of PT Lippo Karawaci Tbk) on a legal dispute related to the signing of addendum, which is not completed of transfer of rights of 4 (four) kiosk unit in Malang Town Square, Indonesia.

  • Representing Kawada Investment company on the sales and purchases of shares and establishment of foreign investment company (PMA company) until the process of completion.
  • Representing Viaticus Capital Pty Ltd. on the establishment of foreign investment company (PMA Company) in Jakarta with type of business to conduct coal mining activities and to perform legal due diligence over the target local company having mining operation license.
  • Representing PT Rencana Mulia Baratama on acquisition plan of majority of shares to third party, reviewing draft of agreement that will be used, coordinate with the establishment of Singapore company and acquisition transaction that will be conducted under the laws of republic of Singapore.
  • Representing PT Marina Lombok on the land acquisition in Lombok by conducting due diligence of land that includes the request of Letter of Information on Registration and preparing a simple memorandum of understanding (MoU) and also a Conditional Sales and Purchase Agreement.

 

Commercial Dispute Resolution

  • Representing PT Sendico Wiguna Lestari on the civil claim on the basis of unlawful act against PT Centra Lingga Perkasa, Tenant Association Management of the Bellagio Mega Kuningan apartment and Notary at South Jakarta Distric Court until the end of the litigation proceeding.
  • Representing PT Sendico Wiguna Lestari on a claim through State Administrative court against Tenant Association of the Bellagio Mega Kuningan and the government of DKI Jakarta.

 

Labor

  • Representing PT Sony Indonesia in relation to the employment issue in the Client’s company. Represented the Client on a two party (bipartit) negotiation on a labor dispute between the Client and its employee, represented the Client on a three party (tripartite) proceeding involving relevant Labor Instance on a labor dispute between the Client and its employee.
  • Representing PT Prasmanindo Boga Utama on employment issue in Client’s company located at Libo and Petapahan – Riau by studying the employment contract, company regulation and chronology of issues, negotiating with the employees to adhere to the employment contract and company regulation.

  • Representing PT Jakarta Setiabudi International Tbk on its property development project by reviewing agreement on service apartment arrangement, including a Technical Service Agreement and a Management Agreement with Frasers, an international property management company.
  • Representing PT Setia Meranti (part of Tamara Group) on its Property Development Project by Reviewing Hotel Consultancy Services Agreement, the Management Agreement and Construction document package for a hotel owned by the Client and Accor Hospitality as the operator.
  • Representing PT Sarana Usaha Jaya on its development project by preparing the Memorandum of Understanding between the Client and Regional
  • Representing PT Cahaya Warna Prima on its property development project by reviewing several agreements on hotel management between the Client and J. W. Marriot, an internationally known hotel operator.
